Introduction / Definitions
These Terms and Conditions (“Agreement”) govern the website design services provided by DIGISO DIGITAL SOLUTIONS AND ENGINEERING LONDON LTD. The company is registered in England and Wales, with its registered office at 284 Chase Road, Block A, 2nd Floor (Take Account), London, England, N14 6HF, and company number 12458977. Hereinafter referred to as “DIGISO” (“we”, “our”, or “us”).
In this Agreement, the term “Client” or “Website Owner” (“you”, or “your”) refers to any individual or legal entity purchasing website design services for personal or corporate use (excluding e-commerce purposes).
By engaging our services, The Client agrees to be bound by these Terms and Conditions.
Scope of Services
DIGISO provides website design and development services based on the WordPress platform. Standard service packages include: one-year domain name fee, one-year hosting service, SSL certificate provided through the server, mobile-responsive and user-friendly design, Google indexing, and integration of a contact form.
The service start date is defined as the date on which a domain name or a temporary subdomain is allocated on the server for the Website Owner. The one-year hosting renewal period is calculated based on this date.
Clients may choose from different service packages according to their budget and expectations. Some packages may include additional services such as logo design, print design, or one-time basic SEO optimisation. These optional services are provided based on the Client’s preferences and terminate upon project completion.
If the website is hosted on DIGISO’s server, the Client will receive one year of free WordPress, theme, and plugin updates, along with technical support. This support covers only the resolution of technical errors.
However, tasks such as resolving technical issues caused by the Client, comprehensive content updates, visual changes, adding new pages, advanced SEO optimisation, functional updates, design revisions, performance and security improvements, and other customisations that fall outside the initial project scope and require additional labour will be subject to additional charges based on the complexity and duration of the work.
For security reasons, the Client is granted WordPress Editor access only. This level of access does not permit technical operations such as installing plugins or modifying source code. If full access (Administrator rights or FTP/database credentials) is requested, the website files and database will be sent to the Client via email. Any technical issues arising after this transfer shall be considered outside DIGISO’s responsibility.
Our website designs utilise Smart Slider 3 Pro, Essential Addons for Elementor Pro, Neve Pro Addon, Elementor, and other plugins available on wordpress.org. Smart Slider 3 Pro, Essential Addons for Elementor Pro, and Neve Pro Addon are licensed for use by DIGISO on client websites and require annual renewal. If the website is hosted on DIGISO’s server and the Client has completed the annual renewal, these plugins will be updated automatically. Other plugins may be used in either free or premium versions, depending on the Client’s preferences.
The website is built using the ‘Neve’ theme and the ‘Neve Pro Addon’ plugin developed by ThemeIsle, and is licensed under an agency licence as a white-label version under the name ‘Digiso London’. The theme infrastructure is developed by ThemeIsle. During the system setup, template kits from platforms such as Templately and Envato Elements may be used. DIGISO holds the necessary subscriptions for the lawful use of these services.
DIGISO accepts no responsibility for any potential copyright infringement arising from the website content or any other cause following delivery.
Client Responsibilities
All content and images must be provided by the Client, and full responsibility for the copyright of these materials rests solely with the Client. If the Client does not provide the content or images, DIGISO may use visuals or AI-generated content licensed through sources such as Freepik.com. In such cases, all copyright responsibility remains with the Client.
Fees and Payment Terms
A 50% upfront payment of the total service fee is required for the project to commence. The remaining balance must be paid before the website goes live.
Delivery and Timelines
The project duration may vary depending on the scope of services and the speed at which the Client provides the necessary information and materials.
Delays caused by the Client (such as late submission of content) will extend the delivery timeline.
In any case, the project duration shall not exceed 12 months. If the project is not completed within 12 months, DIGISO shall no longer be obliged to continue the work, and a new service agreement must be established.
Intellectual Property Rights
The Client is the rights holder of the final delivered website design and content.
All copyright responsibility for third-party content provided by the Client belongs solely to the Client. DIGISO cannot be held responsible for any legal liability or third-party claims that may arise from such content.
Some themes, plugins, and design tools that are used by DIGISO under licence are made available solely under DIGISO’s agency licence. These licences are non-transferable, do not belong to the Client, and are valid only for the duration of the project. When the licence period expires, a renewal may be required for the relevant components to continue functioning.
Third-Party Services
During the website development process, third-party software, plugins, themes, and templates may be used. The ownership of such products belongs to the respective manufacturer companies. DIGISO makes these components available only for the duration of the project and within the scope of valid licences. If the website is not hosted on DIGISO’s server, the renewal of these licences or the purchase of paid versions shall be the responsibility of the Client. DIGISO is not responsible for any loss of functionality that may occur due to the expiration of such licences.
Hosting services are provided through third-party data centres; DIGISO shall not be held responsible for any interruptions or data loss arising from such services.
Where demo content or template kits are used, they are intended for layout placeholder purposes. The responsibility for replacing demo content and verifying its suitability lies with the Client.
Warranty and Disclaimers
As long as the website is hosted on DIGISO’s servers, a technical support warranty is provided for one year from the delivery date. This support only covers system-related or software-related errors and does not include issues arising from Client-side interventions.
Issues arising from Client intervention, third-party intervention, the use of unlicensed plugins, or external system modifications will be resolved for an additional fee.
DIGISO does not provide any warranty commitment in such cases.
Cancellation and Termination
Either party may terminate the project in writing via email. If the project is cancelled by the Client at any stage, the upfront payment will not be refunded.
DIGISO reserves the right to unilaterally terminate the project in cases such as breach of contractual obligations by the Client, prolonged lack of communication (exceeding 90 days), failure to provide required content, or failure to fulfil payment obligations.
The termination notice shall be made to the Client in writing via email and shall be deemed effective as of the date it is sent.
In such terminations, any work completed or in progress by DIGISO shall not be handed over to the Client; additionally, any payments received shall not be refunded.
Confidentiality
Confidential data is generally not collected. DIGISO does not consider such general content as confidential, since the majority of data collected during the website development process is, by nature, intended to be published publicly on the internet.
Unless explicitly agreed, sensitive data is not collected during web projects. If the Client requests systems containing sensitive information, such as private databases, user management systems, or membership panels, the protection and security of such systems shall be entirely the responsibility of the Client.
The protection, backup, or safeguarding of such data against third-party interference is considered outside the responsibility of DIGISO.
DIGISO undertakes to act in accordance with the United Kingdom Data Protection Act (UK GDPR) and relevant legislation. However, DIGISO does not act in the capacity of a data controller. Ensuring GDPR compliance for personal data collected through forms, databases, or other data collection mechanisms integrated into the website is solely the responsibility of the Client.
Governing Law and Jurisdiction
This agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Right to Modify
DIGISO reserves the right to make changes to these Terms and Conditions. Any changes will be communicated to the Client via email or through the website. Continued use of the service by the Client shall be deemed as acceptance of the changes.
Entire Agreement / Severability / Waiver
This document constitutes the entire agreement between the parties.
If any provision is deemed invalid, the remaining provisions shall remain in full force and effect. Failure to enforce any right shall not be construed as a waiver of that right.
